Usage Agreement

Stock Ship platform, owned by Stock Ship Information Technology Company registered with the Ministry of Commerce in the Kingdom of Saudi Arabia under Commercial Registration No. 7051150881, welcomes you and informs you that below you will find the terms and conditions governing your use of the Stock Ship platform and all legal effects arising from your use of its services on the Internet. The use of the Stock Ship platform by any person — whether as a seller, buyer, or otherwise — constitutes their agreement and acceptance in full legal, regulatory, and lawful capacity to all the materials, terms, and conditions of this agreement, confirming their commitment to its regulations and provisions. Note that the Stock Ship platform may take the form of a website, mobile application, or electronic platform. This agreement is effective and enforceable upon your acceptance and commencement of registration on the Stock Ship platform.

1. Definitions

In these terms and supplementary provisions, unless the context requires otherwise, the following words and phrases shall have the meanings set out opposite them:

"Platform": Refers to the Stock Ship platform which operates as an intermediary between the seller and buyer.

"Seller": Any natural or legal person who lists goods for sale through the Platform.

"Buyer": Any natural or legal person who purchases goods listed through the Platform.

"Shipping Intermediary": Any company or accredited logistics entity through which shipping and delivery operations are executed, based on the user's request or the approved agreement within the Platform.

"Goods": The items or units listed for sale or purchased through the Platform.

"User": The seller or buyer, or both, when using the Platform.

"Account": The account created by the user on the Platform to list or purchase goods.

"Terms": These terms and conditions governing the use of the Platform.

"Site" or "Service": The website, applications, and services associated with the Stock Ship platform.

2. Acceptance of Terms

By using, registering, or engaging in any activity on the Platform, you agree to be bound by these Terms. If you represent a company or entity, you represent that you have the authority to bind that entity to these Terms.

3. Platform Services

The Platform acts as an intermediary between sellers and buyers to facilitate the listing and sale of surplus goods, inventory, or business opportunities.

The Platform does not sell goods directly; rather, it enables sellers to list their goods and buyers to select them, and facilitates the payment, tracking, and fulfillment process.

The seller bears responsibility for ensuring that the goods they list are legal and conform to the stated specifications, and the buyer bears responsibility for purchasing and reviewing in accordance with what was agreed.

4. Registration and Account

To create a user account, accurate and up-to-date information must be provided.

The user is responsible for maintaining the confidentiality of their account login credentials and is responsible for any activity that occurs through their account.

The Platform reserves the right to reject or suspend an account in cases of breach of the Terms.

5. Creating Offers and Orders

The seller lists their goods with clear specifications: quantity, price, condition, and any other terms.

The buyer submits a purchase request through the Platform, and the contract between the seller and buyer is concluded upon acceptance of the request and completion of payment.

The Platform may set additional terms as referenced in its standard models.

Listed goods must not violate applicable laws, intellectual property rights, or local regulations.

6. Payment and Billing

The buyer pays the agreed amount through the payment methods provided by the Platform.

The seller delivers the goods or begins shipping procedures upon confirmation of payment.

The Platform holds all or part of the amount in an escrow account until the buyer receives the bill of lading.

All taxes or fees, if any, are the responsibility of the designated party unless otherwise specified.

7. Shipping and Receipt

The buyer selects the shipping/delivery method, country/region, and cost.

The seller is responsible for preparing, packing, and safely shipping the goods to the shipping intermediary.

8. Returns / Complaints / Warranty

The Platform bears no responsibility for the quality of goods, whether a warranty from the seller exists or not. The warranty — if any — is issued solely by the seller, and the Platform's role is limited to overseeing the payment and shipping process and documenting the agreement between the two parties.

9. Rights and Duties

Seller:

Provides accurate and up-to-date information about the goods.

Does not list counterfeit, non-compliant, or stolen goods.

Prepares goods for the shipping intermediary.

The seller is not responsible for the delivery process or shipping duration.

The seller bears responsibility for packaging goods appropriately and in accordance with approved transport standards.

Shipping Intermediary:

Is committed to delivery operations and shipping timelines. Full delivery responsibility rests with the shipping intermediary only when a shipping company is selected from our accredited partners.

Buyer:

Is committed to payment at the specified time.

Selects a shipping intermediary from accredited partners or from the buyer's own shipping company.

Receives the goods and rates the seller.

Platform:

Facilitates communication, payment, and shipping between parties, acts as an intermediary, and does not bear direct responsibility for defects in goods or delays by the seller or buyer.

Reserves the right to modify or suspend accounts or services when necessary.

10. Intellectual Property

All intellectual property rights associated with the Platform — including the logo, design, software, and content — are owned by the Platform. Users may not use or copy them except with written consent from the Platform.

11. Termination and Suspension

The Platform has the right to terminate or suspend any user's account in the event of breach of the Terms or misuse.

The user can terminate their account by contacting the Platform in accordance with the approved procedures, with the understanding that ongoing transactions will be completed.

12. Limitation of Liability

The Platform's liability is limited to its role as a trusted commercial intermediary between the seller and buyer, without bearing any obligations related to direct, indirect, incidental, or consequential damages that may arise from the use of the Platform or any error or delay in its services.

The Platform's guarantee is limited to holding the transaction value in its secure escrow account until confirmation of receipt of the bill of lading from the seller, without any additional obligations outside this framework.

13. Amendments to Terms

The Platform has the right to modify these Terms at any time, provided that users are notified of the amendments through the website or email.

Continued use of the Platform after any modification constitutes acceptance of the amended version.

14. Governing Law and Jurisdiction

These Terms are subject to and interpreted in accordance with the laws applicable in the Kingdom of Saudi Arabia.

In the event of any dispute, the judicial jurisdiction and referral shall be to the state or authority designated by the Platform.
